
TERMS AND CONDITIONS OF USE.

I. Acceptance of the Terms
By accessing and using the website www.eitharea.com (hereinafter "the Site") or contracting any of the services offered by EITHAREA (hereinafter "the Provider"), you (hereinafter "the User" or "the Client") agree to be bound by these Terms and Conditions of Use (hereinafter "the Terms"), as well as by our Privacy Policy and any other policy published on the Site.
If you do not agree with any of these Terms, please refrain from using the Site or contracting our services. Continued use of the Site or services constitutes full acceptance of the current Terms.
EITHAREA reserves the right to modify these Terms at any time. Changes will take effect upon posting on the Site. It is the User's responsibility to periodically review the current Terms.
II. Description of the Company and Services
EITHAREA is a comprehensive real estate consultancy based in Monterrey, Nuevo León, Mexico, specializing in the strategic support of investors, owners and Family Offices in the development of profitable real estate projects in Mexico.
The services that EITHAREA offers include, but are not limited to:

Real Estate Consulting: advice for buying, selling and investing in real estate

Best and Highest Use Analysis: determining the optimal use of a property based on regulations and financial projections

Comprehensive support: coordination of legal, financial, technical and commercial aspects of a project

Asset Optimization: evaluating and enhancing the performance of existing properties

Administration and Operation: contract management, tenants, maintenance and budget

Strategic Marketing: design and execution of pricing, positioning, marketing and closing strategies
The specific scope, deliverables, deadlines and fees for each service will be defined in the corresponding service provision contract, which will prevail over these Terms in case of conflict.
III. Use of the Website
Permitted use
The User may use the Site exclusively for lawful purposes and in accordance with these Terms. The following are permitted:

Download materials that the Site expressly authorizes for download
Prohibited conduct
It is strictly forbidden:

Reproducing, distributing, modifying or commercially exploiting the content of the Site without written authorization from EITHAREA

Impersonating EITHAREA, its collaborators, or third parties

IV. Intellectual Property
All content on the Site, including but not limited to: the EITHAREA brand, logos, trade names, texts, images, photographs, designs, videos, graphics, source code and any other material, are the exclusive property of EITHAREA or third parties who have authorized their use, and are protected by applicable Mexican and international intellectual and industrial property laws.
No content from the Site may be copied, reproduced, republished, downloaded, posted, transmitted, or distributed in any way without the prior written authorization of EITHAREA. Access to the Site does not imply any license to the Provider's intellectual property.
V. Nature of the Information and Advice
The information published on this Site is for informational and reference purposes only. It does not constitute, nor should it be interpreted as, formal legal, tax, financial, or investment advice.
The opinions, projections, market analyses and estimates published on the Site or communicated during the prospecting process reflect EITHAREA's professional judgment based on the information available at the time of their preparation, and are subject to change without notice.
The Client acknowledges that all real estate investments carry inherent risks and that past performance is not indicative of future results. EITHAREA does not guarantee specific returns or outcomes resulting from its advisory services, except as expressly agreed in the corresponding service agreement.
VI. Terms and Conditions for Contracting Services
Formalización
La contratación de cualquier servicio de EITHAREA requiere la firma de un contrato de prestación de servicios profesionales por escrito, en el que se establecerán el alcance del servicio, los honorarios, las condiciones de pago, los plazos y demás términos específicos acordados por las partes.
Las comunicaciones previas a la firma del contrato (correos electrónicos, mensajes de WhatsApp, propuestas comerciales) tienen carácter exploratorio y no generan obligaciones contractuales para ninguna de las partes, salvo que expresamente se indique lo contrario.
Honorarios y forma de pago
Los honorarios de EITHAREA serán los acordados en el contrato de servicios. Salvo pacto en contrario:

Los pagos se realizarán conforme al calendario establecido en el contrato

Los honorarios se facturarán con IVA conforme a la legislación fiscal vigente
-
El retraso en el pago podrá generar intereses moratorios al tipo legal aplicable
-
EITHAREA se reserva el derecho de suspender la prestación del servicio ante falta de pago
Cancelación
Las condiciones de cancelación, penalizaciones y devoluciones, en su caso, quedarán establecidas en el contrato de prestación de servicios. En ausencia de pacto específico, la cancelación unilateral por parte del Cliente no dará lugar a devolución de anticipos ya pagados.
VII. Confidentiality
EITHAREA undertakes to treat with strict confidentiality all information that the Client provides within the framework of the service relationship, including financial, strategic, operational or any other information that is reasonably considered to be confidential.
The Client, for its part, undertakes not to disclose to third parties the analyses, reports, strategies, methodologies and any deliverable prepared by EITHAREA, without its prior written consent.
This confidentiality obligation will remain in effect during the contractual relationship and for a period of two (2) years after its termination, unless expressly agreed otherwise in the service contract.
VIII. Limitation of Liability
EITHAREA will not be liable for:

Investment or business decisions made by the Client based on the information or advice provided

Economic or financial results derived from the projects advised, except in cases of proven fraud or gross negligence

Interruptions, errors or failures in the operation of the Website

Damage caused by viruses or malicious elements that could infect the User's equipment when accessing the Site

Content from third-party websites to which the Site may link

Changes in the economic, regulatory, or market environment that affect real estate projects
In no event shall EITHAREA's total liability arising from the provision of its services exceed the total amount of fees actually paid by the Client in the six (6) months prior to the event giving rise to the claim, unless otherwise provided by law.
IX. Independence of the Parties
The relationship between EITHAREA and its clients is that of the provision of independent professional services. Nothing in these Terms or in any resulting contracts shall create an employment, agency, partnership, or attorney-in-fact relationship between the parties, unless expressly agreed otherwise in writing.
EITHAREA's collaborators, consultants, and subcontractors are not employees of the Client, and EITHAREA is solely responsible to them with respect to their labor and social security obligations.
X. Applicable Law and Jurisdiction
These Terms and Conditions, as well as any dispute arising from them or from the service relationship between EITHAREA and the Client, shall be governed by and construed in accordance with the laws of the United Mexican States, specifically those applicable in the State of Nuevo León.
For the resolution of any controversy, the parties agree to submit to the jurisdiction of the competent courts of the city of Monterrey, Nuevo León, Mexico, expressly waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.
The parties will attempt to resolve any differences amicably before initiating any formal proceedings. If they are unable to do so within thirty (30) calendar days, either party may resort to the appropriate courts.
XI. General Provisions
If any provision of these Terms is declared null, invalid or unenforceable by a competent authority, such provision shall be deemed severable from the rest, which shall continue in full force and effect.
EITHAREA's failure to exercise any right or action contemplated in these Terms shall not constitute a waiver thereof.
These Terms constitute the entire agreement between EITHAREA and the User regarding the use of the Site, and supersede any prior agreements on this subject matter. For specific services, the service agreement will prevail over these Terms.
